Important: These Terms govern access to and use of the Bincentric dashboard and platform by business users only. Card-specific fees, pricing, product restrictions, issuer program rules, operational conditions and usage scenarios are presented separately inside the dashboard and form part of these Terms by reference when accepted or used.

1. Acceptance and Contract Formation

1.1. These Terms constitute a legally binding agreement between Krator Group Limited (trading under the Bincentric brand) and the legal entity or sole proprietor that registers for, accesses or uses the Platform.

1.2. If an individual accepts these Terms or uses the Platform on behalf of a company or other business, that individual represents and warrants that they have authority to bind specific business.

1.3. The Platform is intended solely for business use. Consumers may not register for or use the Platform.

1.4. Acceptance occurs by electronic assent, click-through acceptance, activation of an account, use of the dashboard, use of the API, or use of any card-related functionality after these Terms are made available.

2. Definitions

"Account" means the registered dashboard account, credentials and permissions used to access the Platform.

"Card" means any virtual or other card product made available by or through an Issuer via the Platform.

"Card Terms" means the separate card terms, fees, pricing, issuer restrictions, product conditions, transaction limits, prohibited scenarios, settlement mechanics, program rules and operating instructions displayed, linked or accepted inside the dashboard in connection with a particular card product or issuer program.

"End User" means the natural person or business end customer for whom a Card is issued, where permitted by the relevant issuer program.

"Issuer" means any independent third-party regulated card issuer, sponsor, program manager, payment partner or other provider connected to the Platform.

"Merchant" means business customer, sub-client or other commercial user onboarded, managed or served by you through the Platform.

"Consumer" means a natural person not acting in the course of its business or profession.

"Platform" means the Bincentric software infrastructure, APIs, dashboard, routing tools, reporting modules, technical integrations and related support interfaces.

"Virtual Assets" means supported digital assets used for settlement on the Platform, and any other digital asset expressly supported from time to time.

3. Nature of Services

3.1. Bincentric provides technical aggregation, software access, API connectivity, reporting and operational tooling enabling business users to connect to third-party card programs and payment infrastructure.

3.2. Bincentric acts solely as an independent technical service provider. Bincentric does not itself issue cards, provide banking services, act as your fiduciary, act as merchant of record for your business, or assume responsibility for your commercial relationships with Merchants or End Users.

3.3. All card issuance, approval, decline, suspension, revocation and risk decisions remain subject to Issuer discretion, Card Terms, applicable network rules and technical or compliance controls.

4. Eligibility, Onboarding and Account Conditions

4.1. You must provide complete, accurate and current business information, beneficial ownership information, contact details and any materials requested for onboarding, know-your-business, sanctions, anti-money laundering, fraud prevention, source of funds verification, compliance or program review purposes.

4.2. You must promptly update any change in legal name, registered address, licensing status, ownership, controllers, business model, source of traffic, source of funds or intended card use.

4.3. Access is conditional upon successful onboarding, continued compliance with these Terms and the relevant Card Terms, no overdue payment obligations, satisfactory risk review and continued program availability.

4.4. You are responsible for safeguarding credentials and all actions taken through your Account, including actions by employees, contractors, delegates or any person you permit to access the Platform.

5. Use of the Platform

5.1. You may use the Platform only for lawful business purposes and only in accordance with these Terms, the relevant Card Terms, applicable laws, issuer requirements, technical specifications and dashboard instructions.

5.2. You remain fully responsible for your business model, marketing, traffic acquisition, merchant onboarding, customer support, card distribution logic, transaction behavior, merchant category mix, funding sources, compliance posture and all use cases initiated through your Account.

5.3. You must not reverse engineer, disable, circumvent or interfere with Platform controls, issuer controls, sanctions blocks, fraud systems, card controls, decline protections, geoblocks or other technical or risk mitigations.

6. Card Terms, Fees and Dashboard Materials

6.1. Card-specific fees, pricing, issuer rules, product conditions, operational requirements, transaction limits, top-up rules, prohibited scenarios and other program restrictions are provided separately in the dashboard and are incorporated into these Terms by reference.

6.2. By activating, ordering, funding, topping up or using a Card, or by enabling a given program in the dashboard, you accept the applicable Card Terms for that product or issuer program.

6.3. In the event of a conflict between these Terms and product-specific Card Terms, the Card Terms control with respect to the relevant card product, issuer program, fee, pricing term, operational restriction or usage scenario.

6.4. Bincentric may update dashboard materials, pricing views or Card Terms where required by an Issuer, network, legal requirement, operational necessity or risk control. Continued use of the relevant product after the update takes effect constitutes acceptance of the updated Card Terms, except where mandatory law requires a different process.

7. Settlement and Virtual Assets

7.1. Settlement on the Platform may be carried out using supported Virtual Assets. Bincentric does not accept, hold or process fiat funds belonging to you, your Merchants or your End Users.

7.2. Any technical wallet, master wallet, settlement wallet or balance view made available through the Platform exists solely to facilitate technical administration, card issuance and top-up settlement. Bincentric acts only as the technical administrator of such functionality and does not provide regulated custody services unless expressly agreed in writing.

7.3. You are solely responsible for the accuracy of wallet addresses, supported networks, transfer metadata, source-of-funds legitimacy and the adequacy of balances for requested card operations.

8. Compliance, Monitoring and Risk Controls

8.1. Bincentric may conduct onboarding checks, know-your-business reviews, sanctions screening, fraud review, source-of-funds review, adverse media checks and other due diligence on you, your owners, controllers, Merchants, counterparties and related activity.

8.2. You must promptly provide any records or explanations reasonably requested for compliance, risk or operational review, including contracts, invoices, screenshots, traffic source details, merchant details, transaction explanations, marketing materials and customer support records.

8.3. Bincentric may monitor decline rates, refund patterns, chargeback indicators, issuer alerts, complaint volumes, usage concentration, MCC distribution, velocity patterns and other risk metrics on an ongoing basis.

8.4. A transaction decline rate exceeding twenty percent (20%) over a relevant monitoring period constitutes a material risk indicator and entitles Bincentric to require corrective action, impose limits, suspend issuance, suspend Cards, suspend top-up functionality or terminate access in case of repeated or unresolved issues.

8.5. Where operationally feasible, Bincentric will give notice of a suspension and a brief reason. However, no advance notice is guaranteed where immediate action is required by law, sanction rules, Issuer instruction, fraud concerns, security events or urgent risk mitigation.

9. Prohibited Activity

9.1. You must not use, permit, facilitate or attempt to use the Platform or any Card for any unlawful, fraudulent, deceptive, abusive, misleading or prohibited activity.

9.2. Without limitation, the following are prohibited: adult content or adult services; gambling, betting or gaming; financial services, fintech, money transmission, crypto exchanges, brokers, wallets or analogous regulated activity; sanctioned persons; sanctioned jurisdictions; and any merchant category or use case designated as prohibited by an Issuer, network or payment partner.

9.3. You must not use or allow the use of the Platform or Cards for advertising abuse, including first-bill abuse, trial-credit abuse, pre-billing fraud, creation of advertising accounts to exploit credits, or systematic avoidance of payment obligations to advertising platforms.

9.4. You must not use Cards in sanctioned, high-risk jurisdictions or in jurisdictions subject to increased monitoring by FATF, applicable sanctions authorities, Issuers or card networks.

10. Suspension and Termination

10.1. Bincentric may suspend or restrict any Account, Card, API access, top-up capability, onboarding capability or settlement functionality immediately where required by law, Issuer instruction, sanctions rules, fraud concerns, security incidents, non-payment, material breach or risk policy.

10.2. Bincentric may terminate these Terms or your access to all or part of the Platform immediately if you commit a material breach, repeatedly trigger program or risk controls, fail to provide requested compliance information, or create unacceptable legal, operational, fraud or reputational risk.

10.3. You may stop using the Platform at any time, but termination does not release you from accrued payment obligations, liabilities, indemnities, ongoing investigations or post-termination obligations that by their nature survive termination.

11. Confidentiality and Intellectual Property

11.1. Each party shall keep the other party's non-public business, technical, commercial and operational information confidential and shall use it only for purposes connected with these Terms, except where disclosure is required by law, court order, regulator, Issuer or professional adviser under appropriate confidentiality obligations.

11.2. All intellectual property rights in the Platform, APIs, dashboard, materials, workflows, documentation, reports and related technology remain vested in Bincentric and its licensors. Except for the limited right to use the Platform in accordance with these Terms, no rights are transferred to you.

12. Data Protection

12.1. Each party acts as an independent controller of the personal data it processes in connection with these Terms unless a different role is expressly agreed in writing for a specific data flow.

12.2. Bincentric processes technical, operational, account and compliance data as reasonably necessary for platform administration, support, fraud prevention, security, legal compliance and program operation.

13. Disclaimers

13.1. The Platform is provided on an "as is" and "as available" basis to the maximum extent permitted by law. Bincentric does not warrant uninterrupted availability, uninterrupted issuer access, uninterrupted program availability, error-free operation, acceptance by any merchant, or suitability of any Card for a particular purpose or use case.

13.2. Program availability may change at any time due to Issuer policy, card network requirements, legal developments, sanctions, fraud controls, compliance concerns or technical dependencies outside Bincentric's reasonable control.

13.3. Bincentric does not act as a card issuer, payment service provider, bank, or financial institution. Any Cards and related payment services are issued and provided by independent Issuers or regulated partners, and Bincentric does not assume responsibility for the acts, omissions, policies or decisions of such issuers or partners.

14. Liability, Indemnity and Allocation of Risk

14.1. The allocation of risks and liabilities under these Terms is a fundamental condition of the parties' cooperation. Bincentric provides technical and software services only, and does not participate in, control or benefit from your commercial relationships with Merchants or End Users.

14.2. You bear full responsibility for ensuring that your use of the Platform and any Card complies with these Terms, the relevant Card Terms, issuer rules, network rules and applicable law.

14.3. You shall indemnify and hold harmless Bincentric, its affiliates, officers, directors, employees and contractors from and against all claims, damages, losses, penalties, fines, issuer charges, network assessments, platform claims, investigation costs, remediation costs and reasonable legal fees arising out of or relating to your breach of these Terms, your breach of Card Terms, your Merchants, your End Users, your traffic sources or your transactions.

14.4. For purposes of these Terms, direct losses include issuer penalties, network fines, program losses, remediation costs, investigation costs, reinstatement costs, indemnity payments made by Bincentric to third parties as a direct result of your breach, and losses resulting from suspension or blacklisting of card programs or issuer relationships caused by your conduct.

14.5. To the maximum extent permitted by law, neither party shall be liable to the other for indirect, incidental or consequential damages. Nothing in these Terms limits liability for fraud, willful misconduct, confidentiality breaches, data protection breaches or liabilities that cannot lawfully be limited.

15. Governing Law and Dispute Resolution

15.1. These Terms and any non-contractual obligations arising from or in connection with them are governed by the laws of England and Wales.

15.2. Any dispute, controversy or claim arising out of or in connection with these Terms, including any question regarding existence, validity, breach or termination, shall be finally resolved by arbitration under the LCIA Rules, which Rules are deemed incorporated by reference into this clause.

15.3. The seat of arbitration shall be London, England. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

16. General

16.1. These Terms, together with the applicable Card Terms and any dashboard materials incorporated by reference, constitute the entire agreement between Bincentric and you regarding the subject matter they cover and supersede prior understandings relating to that subject matter.

16.2. If any provision is found unenforceable, the remainder shall remain in full force and effect.

16.3. Bincentric may assign or transfer these Terms, in whole or in part, as part of an internal reorganisation, financing, sale of business, transfer of assets, or other corporate transaction. You may not assign these Terms without Bincentric's prior written consent.

16.4. Clauses that by their nature should survive termination, including payment, indemnity, confidentiality, data protection, liability, dispute resolution and records obligations, shall survive termination.

17. Contact and Notice

17.1. Formal notices relating to these Terms may be sent through the dashboard, by email to the contact details on your Account, or to such other contact details as a party designates in writing.

17.2. Operational notices, issuer notices, risk notices, pricing notices and dashboard alerts may be delivered electronically and shall be effective when made available in the dashboard or sent to the email address specified in the contact details of the registered account.

These Terms are intended for website and dashboard click-through acceptance, and do not require manuscript signature to be binding.
